These terms apply to the WordPress plugin Nexora Forward Pay, the companion Android app Nexora Pay Connect, and the licence, update and support services that come with them (together, the "software"). "We" means Nexora Forward; "you" means the person or business that buys or uses a licence.

By buying a licence or using the software you accept these terms. If you do not agree, do not use the software. The general terms and policies of this website apply as well; where they differ from this page on a matter concerning Nexora Forward Pay, this page prevails.

• A licence gives you a License Key and a Secret Key. With them you can activate the software on the number of domains of your tier and receive updates and support while the licence is valid.
• Number of domains: 1 domain with Starter, 2 with Basic, 3 with Standard and 10 with Business. With or without www is the same domain; a different sub-domain, or a staging or test site on a different address, counts as a separate domain. A licence is locked to the domain it is activated on; moving it to another domain needs a Domain Change Request from the plugin's License screen and the admin's approval (the first change is free, every later change costs 25% of the current package price).
• The licence keys are for you and your own business. You may not give, sell, rent or publish them. For a client's site, buy a separate licence or use our reseller programme.
• The plugin's PHP code is published under the GNU General Public License (version 3 or later); these terms do not reduce the rights that licence gives you over the code. What you buy from us is the licence key and the services tied to it: licence verification, updates, the certificate the app needs to connect, and support.
• The Nexora Pay Connect app is provided to licence holders for use with their licensed sites. The names and logos "Nexora Forward", "Nexora Forward Pay" and "Nexora Pay Connect" are ours; you may not use them for a product of your own without our permission.
• You may not try to bypass or break the licence verification, the keys or the app's licence check.

• A licence for a term (for example monthly or yearly) is valid for the period shown when you buy it. The expiry date is shown on the plugin's License screen.
• Renewal: to extend the term you place a renewal order. We do not charge you automatically unless the checkout clearly says so. A renewal costs the price published at the time of renewal.
• When the term ends: new payments cannot be created, the app stops forwarding SMS and updates are no longer available. The payment records and settings on your site remain; everything resumes when you renew.
• A lifetime licence means one payment for use, updates and support for as long as we offer and maintain the product Nexora Forward Pay. It does not refer to a person's lifetime. If we decide to discontinue the product, we will tell lifetime licence holders a reasonable time in advance.
• The plugin checks the licence with the licence server once a day and runs for at most 7 days without contact. Keeping your site able to reach the licence server is your responsibility.

• Prices are shown on the purchase page and may change for new purchases and renewals. The price of a term you have already paid for does not change afterwards.
• Refunds follow the general refund policy of this website. When a refund is given, the licence concerned is cancelled.
• The money your customers send to you never reaches us. We therefore cannot return it or decide anything about it; that is entirely between you and your customer.

You may use the software only:

• to receive payments to accounts that you own and that you are allowed to use commercially under the terms of the mobile-financial-service (MFS) provider or bank concerned;
• in compliance with the laws and regulations that apply in Bangladesh, for the price of lawful goods and services;
• with the app installed on your own phone, with your own SIM.

The following is not allowed:

• installing the app on someone else's phone without their knowledge and consent, or using the software to collect another person's SMS;
• collecting money on behalf of others and passing it on, that is, acting as a payment service or payment aggregator without the required authorisation;
• use for gambling, fraud, money laundering, unauthorised financial schemes or any other unlawful purpose;
• adding senders other than mobile-banking senders to the allow-list in order to collect personal or third-party messages;
• presenting the software as an official service of bKash, Nagad, Rocket, Upay or any bank.

• We are a software vendor. We are not a bank, a payment service provider, a payment system operator or a payment aggregator.
• We never receive, hold, move or settle your money or your customers' money. The money goes directly from your customer's account to your account, through the MFS provider or bank concerned.
• We are not a party to any transaction between you and your customers.
• We are not affiliated with, authorised by or endorsed by bKash, Nagad, Rocket, Upay or any bank. Those names are trademarks of their owners and are used only to say which accounts' SMS are read.

The software depends on things we do not control. We give no warranty about them:

• SMS formats: an MFS provider can change the wording, layout or sender name of its SMS at any time. An update may then be needed to recognise the new messages; we make reasonable efforts to provide one quickly but cannot promise a time.
• Provider policies: an MFS provider or bank can change its terms, limits, charges or the rules for using an account, or restrict or suspend your account.
• SMS delivery: on the mobile network an SMS can arrive late or not at all.
• Android and phone makers: Google (including Play Protect) and phone manufacturers can change the rules for apps from outside the Play Store, for SMS access or for background apps, which can make installing the app or keeping it running difficult or impossible.
• Your hosting, WordPress and other plugins.

• Compliance of your MFS account: it is your responsibility to know and follow whether your type of account (personal, agent, merchant) may be used to receive business payments, what the transaction limits are and what documents are required.
• Taxes and accounts: every legal duty of your business, including income tax, VAT, trade licence and bookkeeping.
• Customer disputes: you handle complaints about goods or services, refunds, money sent to the wrong number or in the wrong amount, and complaints made to the MFS provider.
• Security of the phone and the site: a screen lock on the phone, strong passwords for WordPress admin, up-to-date software and regular backups.
• Your customers' data: you are the controller of the names, numbers, e-mail addresses and payment data collected on your site. Informing your customers as required and following the applicable law is your responsibility.
• Checking: automatic verification is an aid. For large or doubtful orders it is your responsibility to check that the money really is in your account before you deliver.

• While your licence is valid you receive the updates we release and support by e-mail. We try to answer within a reasonable time but do not promise a response time.
• Support covers help with installing, setting up and fixing faults of the software. Problems with your theme, other plugins, your hosting or your MFS account are not covered.
• We may add, change or remove features, and may switch a feature off when security or the law requires it.

The software is provided "as is". We build and test it with care, but, as far as the law allows, we do not warrant that it will always run without errors or interruption, that it will recognise every payment, that it will never accept a wrong or forged message, or that it will meet your particular needs.

As far as the law allows:

• We are not liable for lost income or profit, business interruption, loss of data, or any other indirect or consequential loss.
• We are not liable for payments that were not recognised, recognised late or recognised wrongly; for fraud by third parties; for disputes with your customers; or for any action of an MFS provider or bank, including the suspension of an account.
• Our total liability for all claims connected with these terms or the software is limited to the amount you paid us for the licence concerned in the 12 months before the claim.

Nothing in this section excludes or limits liability that cannot be excluded or limited by law.

• You can stop at any time: deactivate the licence on the site, tap Disconnect in the app and remove the plugin and the app.
• If you seriously breach these terms (for example by sharing keys, unlawful use, trying to bypass the licence verification, or not paying), we may suspend or cancel the licence. Where possible and reasonable, we will tell you first and give you the chance to put it right.
• When a licence ends or is cancelled, creating new payments, the app's connection and updates stop. The data on your site remains yours.
• The sections that by their nature should continue to apply (our role, your responsibilities, warranty, limitation of liability, governing law) remain in force after termination.

We may update these terms. The new version will be published on this page and the "Last updated" date above will change. For important changes we will try to notify you at the e-mail address of your licence. If you keep using the software after a change, you are taken to have accepted the new terms.

These terms are governed by and interpreted under the laws of the People's Republic of Bangladesh. If a dispute arises, write to us first; we will try to resolve it by discussion. If that fails, the courts of Bangladesh have jurisdiction.

These terms are provided in Bangla and English. If the two differ in meaning, the English version prevails.
